1. Introduction
Welcome to Zoomiz (“we,” “us,” “our,” or “Zoomiz”). These Terms and Conditions (“Terms”) govern your (“you,” “your,” “yours”) purchase and use of our pet care services, including, without limitation, individual bookings, memberships, and token-based services (collectively, “Services”), through our website, zoomiz.co (the “Site”). By accessing the Site or purchasing Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree, do not use the Site or purchase Services. We may update these Terms at any time by posting the revised version on the Site. Continued use after changes are posted constitutes acceptance. Check periodically for updates.
2. Eligibility
You must be at least eighteen (18) years old and legally capable of entering into contracts to purchase Services. By using the Site, you represent and warrant that you meet these requirements. We reserve the right to refuse service to anyone at our sole discretion.
3. Services Description
The Services include grooming, training, wellness checks, exercise (walks), monitoring, celebrations, transport (taxi), and veterinary visits provided at your home, our location(s), or a third-party provider’s location. Services are available as individual bookings or through memberships, with prices listed in tokens. Tokens are purchased individually or in packages and used to book Services via the Site. We reserve the right to modify or discontinue Services and adjust token prices at any time. Active bookings will be honored, subject to token expiration terms.
4. Booking and Payment
Booking Process: To book Services, purchase tokens; select your pets, service type, and details via the Site; then submit payment using tokens. You may purchase additional tokens, as needed. After sufficient tokens are applied, your booking will be confirmed via email. All Services are also available for purchase in United States Dollars at the maximum rate for the applicable Service. Discounts will not apply to cash payment.
Payment: Service prices are listed in tokens, available for purchase in USD, based on current token pricing. Prices include all Indiana sales and use taxes unless otherwise declared. You agree to pay the total price for all tokens you purchase, including any discounts, at checkout. We use Stripe as our payment processor. Stripe applies a 3% processing fee to all transactions. By paying, you agree to Stripe’s Connected Account Agreement and Privacy Policy, which govern payment processing. Zoomiz is not responsible or liable to you, Stripe, or any third party for Stripe’s services, errors, omissions, or data breaches, or any financial, data, or other loss or damage you or any third party incur as a result thereof.
Refunds: Refunds for token purchases will not be issued unless a Service is canceled by us or is otherwise unavailable. Refunds will not be issued if you cancel a booking or Service unless specified in a membership plan. Tokens may not be redeemed for cash. To be eligible for a refund hereunder, you must contact us at support@zoomiz.co with a refund request before or within seven (7) days after the scheduled time for the provision of the Service that is the subject of the refund. Please include all relevant details in any refund request.
5. Tokens
Except as otherwise provided herein, Tokens are the currency used to purchase Zoomiz Services through the Site. The following additional terms apply to the purchase, use, and expiration of tokens.
- Purchase: Token pricing and package details are available on the Site and will be confirmed at checkout. Tokens may only be purchased using United States Dollars.
- Use: Tokens are valid for Zoomiz Services only. Tokens are non-transferable, may not be used to purchase any third party service, and may not be redeemed for cash.
- Expiration: All tokens expire one (1) year from their date of purchase and thereafter may not be used to purchase Services. Expired tokens will be deleted from your account. No refunds will be issued for expired tokens.
- Price Changes: Service prices are listed in tokens and are subject to change at any time. Service price changes apply immediately to all new bookings.
- Redemption: Tokens are applied at checkout based on the price of the Service(s) you have selected. If insufficient tokens are available, you must purchase additional tokens to complete the booking.
6. Services Description
We collect personal information (e.g., name, contact details, pet information, payment data) when you create an account, book Services, or interact with the Site, as detailed in our Privacy Policy. This section outlines how we use, share, and protect your information:
- Use: We use your information to provide and improve Services, process bookings, manage your account, communicate with you (e.g., confirmations, updates), and personalize your experience. We may also use data for internal purposes, such as analytics, marketing, and service optimization.
- Third-Party Sharing: We share your information with our third party service providers as necessary to market and facilitate the Services. These third parties include, without limitation:
- Stripe, our payment processor, to handle transactions (subject to Stripe’s Privacy Policy).
- Third-party providers fulfilling Services (e.g., pet transport, grooming).
- Our marketing and analytics partners, to enhance our services or deliver targeted promotions, subject to your consent where required by law.
- Sale of Data: We may share or sell anonymized, aggregated data (e.g., service usage trends) with third parties for research, analytics, or business purposes, but we do not sell identifiable personal information (e.g., name, contact details) without your explicit consent, except as required by law or in connection with a business transfer (e.g., merger, acquisition).
- User Rights: You may access, correct, or delete your information, or opt out of certain data uses (e.g., marketing), as outlined in our Privacy Policy. Contact us at support@zoomiz.co to exercise these rights. We comply with applicable data protection laws, including Indiana consumer protection regulations.
- Security: We implement reasonable, industry-standard security measures to protect your information. You agree that absolute security cannot be guaranteed and that you are responsible for maintaining the confidentiality of your account credentials.
7. Memberships and Subscriptions
Zoomiz offers memberships (Paw Pals, Pet Partner, Pet Pro, VIPet Elite) with defined end-points of quarterly or annual terms, chosen at signup. Memberships provide benefits such as discounted token purchases and priority scheduling. Key terms include, but are not limited to:
- Auto-Renewal: Memberships automatically renew at the end of each membership term. Pricing and recurrence details are confirmed at signup.
- Cancellation: You may cancel your membership at any time through your Site account. You must cancel your membership at least five (5) days before the end of the membership term to avoid automatic renewal. No refunds will be issued for the unused portion of any term.
- Price Adjustments: We may adjust membership fees with thirty (30) days’ notice to you. Fee adjustments will be effective at the next automatic renewal after the notification period. Continued use after a price change becomes effective constitutes acceptance of the price change.
- Benefits: Membership benefits (e.g., token discounts) are valid only during the active term of the membership and automatically cease upon cancellation or expiration of the membership.
8. User Responsibilities
You agree to provide accurate information (e.g., pet details, address, ownership status) when booking Services and to use the Site for lawful purposes only. You are responsible for securing your account credentials and for all activity carried out under your account. Misuse, including, without limitation, unlawful activity, false bookings, or reselling Services may result in the termination of your account.
9. Pet Ownership Verification and Disclaimers
Ownership Verification: By booking Services, you represent and warrant that:
- You are the legal owner of the pet(s) receiving Services or have explicit authorization from the legal owner to arrange Services.
- The pet(s) is not subject to ownership disputes, including those arising from divorce, separation, or other legal proceedings.
- You have provided accurate and complete information about the pet(s), including any history of aggression, health issues, or special needs that may impact the safety of the pet(s), Zoomiz staff, or third-party providers.
Disclaimers for Theft, Abuse, and Disputes:
- You, not Zoomiz, are liable for claims, damages, or losses arising from inaccurate ownership information, ownership disputes, or unauthorized use of Services for a pet.
- Zoomiz is not responsible for verifying pet ownership beyond your representations and warranties hereunder.
- You agree to notify Zoomiz immediately if the pet’s ownership status changes or if the pet becomes involved in a dispute. Zoomiz reserves the right to suspend Services until the matter is resolved.
- Zoomiz staff and third-party providers are not authorized or responsible to handle or resolve ownership disputes, which must be addressed directly between you and the involved parties.
Pet Safety and Conduct: You are responsible for ensuring your pet(s) are safe to handle and do not pose a risk to Zoomiz staff or third-party providers. Zoomiz is not liable for your or any third party’s injuries, damages, or losses caused by a pet’s behavior (e.g., aggression, escape, property damage) unless directly caused by Zoomiz’s gross negligence or willful conduct.
10. Third-Party Providers
Services may be fulfilled by third-party providers. We are not liable for the acts, omissions, or service quality of such providers. Disputes with providers may be brought to us for assistance, but ultimate responsibility lies with the provider.
11. Intellectual Property
All Site content (e.g., text, designs, code, intellectual property), other than your personal, identifiable information, is owned by Zoomiz or our licensors. You may not copy, modify, or distribute any Site content without our express, written permission.
12. Limitation of Liability, No Warranty
To the fullest extent permitted by Indiana law, Zoomiz expressly disclaims all representations and warranties of any kind, express or implied, statutory, or otherwise, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose and including any implied warranties arising out of usage of trade, course of dealing, or course of performance. The Site and the Services are provided on an “as is” and “as available” basis, with all faults. To the maximum extent permitted by applicable law, Zoomiz does not warrant that the Services or the Site will meet customers’ requirements or that the operation of the Site will be uninterrupted, secure, virus free, or error free. Zoomiz is not liable for indirect, consequential, or incidental damages (e.g., lost profits, pet injury) arising from your use of the Site or Services, even if Zoomiz has been advised of the possibility of such damages. Our total liability to you is limited to the equivalent United States Dollar amount you paid for a Service(s) that is the subject of a dispute between you and Zoomiz. This limitation applies to claims related to ownership disputes, pet behavior, theft, or abuse, except as otherwise required by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Zoomiz, its affiliates, and their respective owners, officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorney fees) arising from: - Your breach of these Terms, including misrepresentations about pet ownership or disputes. - Any third party claims of theft, abuse, or legal disputes involving the pet(s) for which you booked Services. - Injuries, damages, or losses caused by your pet(s) (whether or not owned by you) during the provision of Services, unless due to Zoomiz’s gross negligence.
14. Termination
We may immediately suspend or terminate your access to the Site or Services if you breach these Terms, including, without limitation, by providing false ownership information or failing to disclose disputes. Upon termination, your active bookings will be canceled and your membership(s) terminated. You will not receive a refund for unused tokens or the unused portion of any membership, except as required by law.
15. Governing Law and Disputes
These Terms are governed by the internal laws of the State of Indiana, without regard to the conflict of laws, principles, or rules of any jurisdiction. Disputes must be resolved in the state or federal courts of Marion County, Indiana, and you waive any objection to such jurisdiction and to venue.
